Eligibility

use our platform. By participating in token sales or other services, you
confirm that you comply with all applicable laws and regulations in your

Services Provided

Edma Network provides a blockchain-based platform for tokenized renewable
energy, energy certificates trading, ESG compliance, and related services.

Participation in giveaways, referral programs, or presale activities is
subject to specific guidelines outlined in their respective sections.

Use of Platform

You agree to use the platform solely for its intended purposes and not for
any unlawful or unauthorized activities.

It is your responsibility to ensure the security of your wallet and
private keys. Edma Network is not responsible for any loss or unauthorized
access to your wallet.

EDM Purchases

By participating in our presale or token offerings, you acknowledge and
accept the risks associated with blockchain technology and
cryptocurrencies, including market volatility, regulatory changes, and
potential loss of funds.

Tokens purchased on our platform have specific utility within the Edma
ecosystem and are not intended for speculative purposes.

Disclaimer: Not Investment Advice

The information provided on the Edma Network platform, website, or
marketing materials is for informational purposes only and does not
constitute investment, financial, or legal advice.

Participation in token sales or any activity on our platform should not be
viewed as an endorsement of investment opportunities.

Intelectual Property

All content on the platform, including logos, designs, text, and
technology, is the intellectual property of Edma Network.

You may not use, copy, or distribute this content without prior written
permission.

Limitation of Liability

Edma Network is not liable for any losses, damages, or liabilities arising
from the use of the platform, including but not limited to technical
errors, token value fluctuations, or third-party actions.

All services are provided on an “as-is” basis without warranties of any
kind, either expressed or implied.

Eligibility & Jurisdictions.

(a) Non-U.S. Persons (Reg S). The public token sale is offered outside the United States to non-U.S. persons who complete KYC/AML checks. By proceeding, you represent and warrant that you are not a “U.S. person” (as defined in Regulation S) and you are not purchasing for, or on behalf of, any U.S. person.
(b) U.S. Persons (Reg D). Sales to U.S. persons are not available through the public sale. U.S. persons may only purchase via a private placement to accredited investors under Rule 506(c) of Regulation D, subject to (i) KYC/AML screening, (ii) accredited investor verification, (iii) execution of subscription/SAFT documents, and (iv) delivery of restricted tokens with transfer limitations.
(c) Prohibited & Sanctioned Territories. We do not offer tokens in jurisdictions where such sale is unlawful or to persons on any sanctions list. We may cancel, refuse, or unwind any transaction that fails compliance.

Nature of Tokens.

EDM tokens are utility tokens used to pay platform protocol fees. EDM does not represent equity, ownership, dividends, profit share, or governance rights. We make no promise of listing, liquidity, or future price.

U.S. Alternative (Service Credits).

For U.S. customers who are not accredited investors, EDMA may offer non-transferable Platform Fee Credits solely to pay platform fees. Credits cannot be sold or traded, have no cash value, and are not an investment.

Transfer Restrictions.

(a) U.S. (Reg D) Tokens are restricted securities and may be subject to lockups, whitelisting, and resale limitations under applicable law and your subscription/SAFT.
(b) Non-U.S. (Reg S) Tokens may not be resold into the U.S. during the distribution compliance period or otherwise in violation of securities laws.
You agree to comply with all transfer controls we impose to reflect these restrictions.

KYC/AML & Right to Refuse.

You agree to provide information we reasonably request to satisfy KYC/AML/OFAC obligations. We may decline, delay, or reverse any purchase where we cannot complete compliance or where required by law.

No Advice; Risks.

Nothing on this site or in our materials is investment, legal, or tax advice. Purchasing tokens involves risk, including loss of value. You should seek independent advice and only participate if you can afford the risk.

Marketing & Communications.

You acknowledge that no statement by EDMA or its representatives constitutes a promise of profits, price performance, exchange listing, or liquidity. Any forward-looking statements are subject to risks and uncertainties.

Conflicts.

If these Terms conflict with terms in a signed subscription/SAFT or private placement document, the signed document controls for that buyer.

Changes.

We may update these Terms from time to time. The version in effect at the time of your purchase governs that purchase.

Indemnification

By using our platform, you agree to indemnify and hold Edma Network
harmless from any claims, damages, or losses resulting from your violation
of these Terms or misuse of the platform.

Changes to This Policy

Edma Network reserves the right to update these Terms at any time. Updates
will be posted on this page with the “Last Updated” date.

Continued use of the platform constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Arizona, United States. Any
disputes will be resolved in the courts of Arizona, United States.
